By accessing, downloading, or using the Muse application, website, or related services (collectively, the “Service”), you agree to be bound by these Terms of Use. If you do not agree to these Terms, you may not access or use the Service.

Changes to Pricing and Service

Muse reserves the right to modify, suspend, or discontinue any part of the Service, including pricing, subscription plans, or usage policies, at any time. Where required by applicable law or platform policies, Muse will provide reasonable notice of material changes.

License Grant

Subject to your compliance with these Terms of Use, Muse grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Service solely for your personal, non-commercial use and strictly in accordance with these Terms.

Ownership and Restrictions

The Service, including all software, content, features, and intellectual property rights, is owned by Muse or its licensors. Except as expressly permitted under these Terms, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, or otherwise attempt to extract the source code of the Service, or use the Service in any unlawful or unauthorized manner.

Account Suspension or Termination

Muse reserves the right to suspend or terminate your access to the Service, in whole or in part, if you violate these Terms or use the Service in a manner that is unlawful or harmful, to the extent permitted by applicable law. Where required, Muse will provide notice or an opportunity to remedy such violation.

Intellectual Property Rights

All rights, title, and interest in and to the Service not expressly granted to you under these Terms of Use are reserved by Muse.

User-Generated Content

The Service may allow you to upload, submit, store, generate, modify, or share content, including images, photos, text, or other materials (collectively, “User-Generated Content”).

You retain ownership of any intellectual property rights that you hold in your User-Generated Content, and Muse does not claim ownership of such content.

You represent and warrant that you own or have obtained all necessary rights, licenses, and permissions to upload, generate, and use any User-Generated Content through the Service, and that such content does not infringe or violate the rights of any third party. You are solely responsible for your User-Generated Content.

License to Use User-Generated Content

To operate and provide the Service, you grant Muse a limited, non-exclusive, royalty-free, worldwide license to host, store, process, reproduce, and display your User-Generated Content solely for the purpose of providing, maintaining, and improving the Service.

Muse will not use your User-Generated Content to train or improve generalized machine learning models without your explicit consent. Any such use, if applicable, will be subject to additional disclosures and governed by the Privacy Policy.

You acknowledge that you will not be entitled to compensation for any use of User-Generated Content as described in these Terms.

User Responsibility for Content

You are solely responsible for your User-Generated Content and represent and warrant that you have all necessary rights, licenses, and permissions to submit such content and to grant the rights described above. You further represent that your User-Generated Content does not violate these Terms, applicable laws, or the rights of any third party, including intellectual property and privacy rights.

Generative AI Features

The Service may offer features that use generative artificial intelligence technologies (“Generative AI Features”). These features allow you to upload or submit images or other materials (“Input”) and to receive AI-generated results, such as images or videos (“Output”).

As between you and Muse, you retain ownership of your Input and Output, subject to your compliance with these Terms of Use. Your Input and Output are considered User-Generated Content under these Terms.

Acceptable Use of Generative AI Features

In addition to the general Prohibited Uses set forth in these Terms, you agree that you will not use the Generative AI Features to create, upload, generate, or distribute any content that:

No Guarantee of Accuracy

The Output generated by the Generative AI Features is provided for informational or creative purposes only and may be inaccurate, incomplete, or inappropriate. Muse does not guarantee the accuracy, reliability, or suitability of any Output, and you should not rely on the Output as professional advice or factual information.

Feedback and Suggestions

If you provide Muse with any feedback, comments, ideas, improvements, or suggestions regarding the Service (“Suggestions”), you grant Muse a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, publish, and otherwise exploit such Suggestions for any purpose related to the Service, without compensation or attribution to you.

Nothing in these Terms limits your ability to use or share your own ideas or feedback independently.

Links to Third-Party Websites

The Service may contain links to third-party websites or services that are not owned or controlled by Muse. Muse is not responsible for the content, policies, or practices of any third-party websites or services. Your access to and use of such third-party websites or services is at your own risk and subject to the terms and policies of those third parties.

Modification or Termination of the Service

Muse reserves the right to modify, suspend, or discontinue the Service, or any part of it, temporarily or permanently, to the extent permitted by applicable law. You acknowledge that such changes may result in the loss of access to certain features, content, or data associated with your account.

You may stop using the Service at any time. Muse is not liable for any modification, suspension, or discontinuation of the Service, except as required by applicable law.

Updates

Muse may provide updates, upgrades, enhancements, or modifications to the Service, including patches and bug fixes (“Updates”). You acknowledge that Muse has no obligation to provide any specific Update or to continue providing particular features or functionalities.

All Updates are deemed part of the Service and are subject to these Terms of Use.

Subscriptions

Certain features of the Service may require a paid subscription. Subscription plans, billing, renewal, cancellation, and refund terms are described in the applicable in-app disclosures and Refund Policy, which are incorporated by reference.

Term and Termination

These Terms of Use remain in effect until terminated by you or by Muse.

You may terminate these Terms at any time by discontinuing use of the Service and deleting the application from your device(s).

Muse may suspend or terminate your access to the Service, or terminate these Terms, if you violate these Terms or use the Service in a manner that is unlawful or harmful, to the extent permitted by applicable law. Where required, Muse will provide notice or an opportunity to remedy such violation.

Upon termination of these Terms for any reason, you must cease all use of the Service.

Termination of these Terms does not limit any rights or remedies available to Muse under applicable law or equity for any breach that occurred prior to termination.

Muse does not warrant that the Service will meet your requirements, achieve any intended results, be compatible with other software or services, operate without interruption, be secure or error-free, or that any defects or errors will be corrected. Muse makes no warranties regarding the accuracy, reliability, or completeness of any content or information provided through the Service.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or consumer rights. To the extent such laws apply to you, some of the above disclaimers may not apply.

Limitation of Liability

To the maximum extent permitted by applicable law, Muse and its affiliates, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, business interruption, or any other intangible losses, arising out of or related to your use of or inability to use the Service, even if Muse has been advised of the possibility of such damages.

To the extent permitted by applicable law, Muse’s total aggregate liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the amount paid by you to Muse for the Service during the applicable subscription period giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages or liabilities. To the extent such laws apply to you, some of the above limitations may not apply.

Severability

If any provision of these Terms of Use is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms of Use, together with the Privacy Policy and any other legal notices or policies published by Muse in connection with the Service, constitute the entire agreement between you and Muse regarding the Service and supersede any prior agreements or understandings.

Waiver

The failure of either party to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of a breach shall not be deemed a waiver of any subsequent breach.

Amendments to These Terms

Muse may update these Terms of Use from time to time. If we make material changes, we will provide reasonable notice, including, where required by applicable law, advance notice before the updated Terms take effect.

Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

Dispute Resolution

This section applies to any dispute, claim, or controversy arising out of or relating to the Service or these Terms of Use, whether based on contract, tort, statute, regulation, or any other legal or equitable theory.

Notice of Dispute and Informal Resolution

Before initiating any legal action, you and Muse agree to attempt to resolve any dispute in good faith through informal negotiation. Either party may initiate this process by providing written notice of the dispute, including the name and contact information of the notifying party, a description of the dispute, and the relief sought.

Notices of dispute should be sent by email. The parties will attempt to resolve the dispute within a reasonable period after the notice is received.

Governing Law and Jurisdiction

These Terms of Use and any dispute arising out of or relating to the Service shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles. Subject to applicable law, the courts of Singapore shall have jurisdiction over any such dispute.

Promotions

From time to time, Muse may offer promotions, contests, or other special activities (“Promotions”). Each Promotion may be governed by additional terms or rules, which will be made available at the time of participation. By participating in a Promotion, you agree to comply with the applicable rules.

Miscellaneous

If any provision of these Terms of Use is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions shall remain in full force and effect.

The headings used in these Terms are for convenience only and have no legal or contractual effect.

Muse may seek injunctive or other equitable relief for any breach of these Terms, in addition to any other remedies available under applicable law.

The Service is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to applicable law. Access to the Service from jurisdictions where it is illegal is prohibited.
